Cybersecurity Services – Terms and Conditions

  1. Scope of Services
    Magentai shall deliver cybersecurity services to the Client as outlined in the applicable Statement of Work (“SOW”) or Proposal. These may include, but are not limited to:
    • Technology Workshops
    • Cybersecurity Assessments and Audits
    • Implementation, adoption, and integration Cybersecurity services
    • Vulnerability Scanning and Management
    • Penetration Testing
    • Endpoint Detection and Response (EDR)
    • Managed Detection and Response (MDR)
    • Security Information and Event Management (SIEM)
    • Compliance Advisory (HIPAA, NIST, ISO, etc.)
    • Incident Response Planning and Support

  2. Service Delivery
    Services will be delivered remotely unless otherwise agreed. On-site services require Magentai’s consent, may be subject to additional fees, and require prior scheduling.

  3. Client Responsibilities
    Client agrees to:
    • Provide timely access to systems, personnel, and documentation necessary for the delivery of services.
    • Notify Magentai of any material changes to their IT environment that may impact service delivery.
    • Maintain regular data backups and disaster recovery mechanisms unless explicitly included in Magentai’s responsibilities.

  4. Confidentiality
    Each party agrees to maintain the confidentiality of all non-public business, technical, and security-related information received from the other party and shall not disclose it to any third party without prior written consent, except as required by law.

  5. Security Obligations
    While Magentai will use commercially reasonable efforts to secure the Client’s systems and data, the Client acknowledges that no system is completely immune to cyber threats. Magentai is not liable for any breach, loss, or damage unless resulting from Magentai’s negligence or willful misconduct.

  6. Reporting & Communication
    Magentai will provide status updates, incident reports, and recommendations in a format and frequency agreed upon in the SOW. Critical threats or incidents will be communicated immediately upon discovery.

  7. Service Levels (Optional)
    If applicable, service level agreements (SLAs) including response times, remediation timelines, and escalation procedures will be defined in the SOW.

  8. Fees and Payment
    Services will be billed according to the rate and schedule specified in the SOW. Additional work outside of scope will require written approval and may incur additional charges.

  9. Term and Termination
    These Terms shall remain in effect for the duration of any active SOW unless terminated earlier by either party with 30 days’ written notice. Termination for cause may occur immediately if a party breaches any material term and fails to cure within 15 days of notice.

  10. Limitation of Liability
    Magentai’s liability for any claim relating to the services provided, whether in contract, tort, or otherwise, shall not exceed the fees paid by Client in the 6 months preceding the claim. In no event shall either party be liable for indirect, incidental, or consequential damages.

  11. Compliance
    Magentai will adhere to industry best practices and applicable laws and regulations. Client remains responsible for its own compliance unless specific compliance services are included in the SOW.

  12. Force Majeure
    Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including but not limited to acts of God, cyberattacks, natural disasters, or government actions.

  13. Governing Law
    These Terms shall be governed by the laws of the state of Florida, unless otherwise specified in the SOW or MSA.
